These Terms & Conditions (“Terms”) govern your use of perfara.com (the “Website”) and any services provided by Perfara (“Perfara”, “we”, “us”, “our”), a digital marketing and website development agency based in Balrampur, Uttar Pradesh, India. By using the Website or engaging our services, you (“Client”, “you”) agree to these Terms.
1. Our services
Perfara provides performance marketing (Google and Meta ads), website design and development, search engine optimisation (SEO), social media marketing, lead generation, AI-powered marketing solutions and one-on-one website help. The exact scope, deliverables, timelines and fees for each engagement are set out in a written proposal, quotation, invoice or agreement shared with you (“Proposal”). If a Proposal conflicts with these Terms, the Proposal prevails for that engagement.
2. Getting started
- Work begins once you approve the Proposal and, where applicable, pay the agreed advance.
- You agree to provide accurate information, timely feedback, content (text, images, logos), and access to accounts (hosting, domain, Google, Meta, analytics) needed to deliver the work.
- Delays in providing approvals, content or access may extend timelines. Projects on hold for more than 30 days without response may be closed or re-quoted.
3. Fees and payment
- Fees are as stated in the Proposal and are quoted in Indian Rupees (INR) unless stated otherwise. Applicable taxes (including GST, where applicable) are additional.
- Retainer and monthly services are billed in advance at the start of each billing period.
- Advertising spend paid to Google, Meta or other platforms is separate from our management fee and is paid by you directly to the platform unless agreed otherwise.
- Invoices are payable within 7 days unless the Proposal states otherwise. We may pause work on overdue accounts.
- Third-party costs such as domains, hosting, premium plugins, themes, stock images and software subscriptions are billed separately or paid by you directly.
4. Changes to scope
Requests outside the agreed scope (additional pages, features, revisions beyond the included rounds, new campaigns, etc.) will be quoted separately and started only after your approval.
5. Your responsibilities
- You confirm that all content and materials you provide are owned by you or that you have permission to use them, and that they do not infringe anyone’s rights or break any law.
- You are responsible for the accuracy of claims made about your products and services, including in ads and on your website.
- You are responsible for complying with laws and platform policies that apply to your business (for example, advertising rules for education, health or financial services).
- You agree not to ask us to create content that is unlawful, misleading, defamatory or that violates third-party platform policies.
6. Accounts, access and ownership
- Ad accounts, analytics, Search Console, Business Profiles and domains should be created in your name or your business’s name. We work on them with access you grant.
- On full payment, you own the final deliverables created specifically for you, such as your website design, written content and creatives.
- We retain ownership of our pre-existing tools, templates, frameworks, code libraries and know-how, and grant you a licence to use them as part of your deliverables.
- Third-party software, plugins, themes, fonts and stock assets remain subject to their own licences.
- Unless you ask us not to, we may display non-confidential work (such as your live website or public results) in our portfolio and case studies.
7. Results
Digital marketing and SEO outcomes depend on many factors outside our control, including search engine algorithms, platform policies, competition, budget and your offer. We commit to doing the work professionally and reporting transparently, but we do not guarantee specific rankings, traffic, leads, sales or revenue. Please read our Disclaimer & Guarantees page for details.
8. Confidentiality
Both parties will keep confidential any non-public business information shared during the engagement and use it only for the purpose of the engagement, except where disclosure is required by law.
9. Third-party platforms
Our services often rely on third-party platforms such as Google, Meta, WordPress, hosting providers and payment gateways. We are not responsible for their downtime, policy changes, account suspensions, pricing changes or data handling. Where an ad account or listing is restricted by a platform, we will help you through the platform’s appeal process but cannot guarantee the outcome.
10. Website maintenance and security
Unless you have a maintenance plan with us, you are responsible for ongoing updates, backups and security of your website after handover. We are not liable for issues caused by later changes made by you or other parties, plugin or theme updates, hosting problems, or security incidents outside our control.
11. Limitation of liability
To the maximum extent permitted by law, Perfara will not be liable for any indirect, incidental, special or consequential losses, including loss of profit, revenue, data or business opportunity. Our total liability for any claim relating to an engagement is limited to the fees you paid us for that engagement in the three (3) months before the claim arose.
12. Indemnity
You agree to indemnify Perfara against claims, losses and costs arising from content or materials you supplied, your products or services, or your breach of these Terms or applicable law.
13. Termination
Either party may end an ongoing (monthly) service with 15 days’ written notice, unless the Proposal specifies a different minimum term or notice period. You will pay for work completed and costs incurred up to the termination date. Refunds, if any, are handled as described in our Refund & Cancellation Policy.
14. Use of this Website
You may browse the Website for personal and business information purposes. You must not copy our content or design for commercial use without permission, attempt to break or overload the Website, or use it for any unlawful purpose. Information on the Website is general and may change without notice.
15. Governing law and disputes
These Terms are governed by the laws of India. We will first try to resolve any dispute through good-faith discussion. If it cannot be resolved, the courts at Balrampur, Uttar Pradesh, shall have exclusive jurisdiction.
16. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Continued use of the Website or our services means you accept the updated Terms.
